In reply to Amy Eisenstein. I believe the IRS reauires a minimum of 3 Board members for 501(c)3 organizations. That might be the leverage to get a third board member – then rewrite your bylaws!!!

In reply to Shelly. Shelley – I think these are two separate issues. First, you may need a strongly worded letter from a lawyer to encourage the board president step down. It’s clearly time to recruit more board members, although your friend may have a hard time getting them past the president.
